AGM - July 28 / DUGALD MORRISON CLUBHOUSE
Hello SDU Families,
On behalf of the Board of South Delta United we hope this note finds you well, safe and enjoying the early spell of great weather.
In preparation for the upcoming AGM the following Board Positions will be accepting nominations.
President (accepting nominations)
Director Vacating Paul Schofield (accepting nominations)
Director Sandy Rosen (accepting nominations)
Treasurer Kyersten Livingstone (accepting nominations)

In late May, Kathrina Oxciano (SDU President) stepped back from the role as President due to personal matters. The Board reached out to see if l had any interest in assuming that interim position within the Club? To which l accepted. As per club BYLAWS this now will require voting at the AGM of a new president.

b) A vacancy on the Board, caused by removal, resignation, incapacity or death, shall be filled by a majority vote of the Board. The successor director shall hold their incumbent's position until the next annual meeting of the members, whichever comes first.
Director
Paul Schofield (SDU Director) will be vacating a Director at Large position. Paul has recently retired from the Delta Fire Department and is looking forward to spending quality
time with his family, fine tuning his golf game and cheering on the Scottish Soccer Team . We thank Paul for his support of our Club.
Director
Sandy Rosen was appointed to the Board in October 2020. Sandy would like to retain his position. As per club BYLAWS this now will require voting at the AGM to carry Sandy forward.

Treasurer
Kyersten Livingstone was appointed to the Board in April 2021. Kat Oxciano has expressed interest in the role. As per club BYLAWS this now will require voting at the AGM for a new Treasurer.

How to nominate someone:
Nominations for the Board of Directors must be submitted via a 2 Step Process at least 10 days prior to the AGM scheduled for Wednesday July 28 2021.

STEP 1.
Complete and submit the SDU Board Member Nomination Form at least 10 days prior to the AGM (July 28 2021) .
Nominators and Nominees need to be members in good standing.
STEP 2.
Nominees need to complete and submit SDU Board Member Acceptance of Nomination Form at least 10 days prior to the AGM (July 28 2021) .
If one or both forms are incomplete or past the submission deadline of July 18 2021. They will not be accepted.
Approved Nominees will be published prior to the AGM and voted on at the AGM.
How to vote:
You must be in attendance at the AGM
NO PROXY or Absentee votes accepted.
You must be a member of South Delta United in good standing.
DUTIES OF OUR SDU DIRECTORS:
Terms – Directors will serve a minimum one (1) year to a maximum two (2) year term. They will hold office until they or their successors have been duly elected, unless they resign, or are removed from or vacate their office
a) President
The President shall preside at all meetings of the members of the Club and meetings of the Board. The President shall: be an official member of all Club committees, except any nominations committee; shall appoint all chairs of standing and special committees subject to ratification by the Board; shall coordinate all duties of the Board, committees, and staff; and shall be the spokesperson for the Club. The President has no authority to act unless directed to do so by the Board; The President is the CEO and shall supervise the other officers in the execution of their duties; Be one of four (4) signing authorities; Chair any discipline or ethics committee formed by the club.
b) Vice-President
The Vice President shall act in the absence of the President and shall have other powers as assigned by the Board; Assist the President with all aspects of club administration as requested by the President; Be a member of any discipline or ethics committee formed by the club; Be one of four (4) signing authorities
c) Treasurer
The Treasurer shall: ensure that full and accurate records are kept of the accounts of the Club so as to comply with the Society Act; shall report to the Board at least once per quarter; and submit an Annual Financial Report including a proposed budget for the following year at annual meetings of the membership; Assess all financial undertakings to ensure they are within the annual budget; Be one of four (4) signing authorities.
d) Secretary
The Secretary shall: keep a record of all minutes of the organization; keep on file all committee reports; notify officers and committee members of their election or appointment; furnish committees with those documents required to perform their duties; sign all certified copies of acts of the organization, unless otherwise specified in the Club’s published rules; maintain record books in which the constitution, published rules and minutes are entered and to have the current record books available at each meeting; to send out to the membership a notice of each meeting of the members; send out to the Board notice of each meeting of the Board; conduct the general correspondence of the organization that is not the proper function of another office or committee; prepare, prior to each meeting in consultation with the presiding officer, an order of business; and in the absence of the president and
vice-president, preside until the immediate election or appointment of a new presiding officer.
e) Director At Large.
The duties of Director At Large Positions shall be determined by the Board; Be a member of any discipline or ethics committees as formed by the club
